Terms of Service

These Terms of Service ("Terms") govern your use of the SMB AI Guy website, the free AI Readiness audit, and the client portal (together, the "Site"), provided by Enthropic Data LLC ("we," "us," or "our"), located in Weddington, NC. By accessing or using the Site, you agree to be bound by these Terms.
Paid AI Readiness engagements are performed under a separate AI Readiness Services Agreement that you sign before any work begins. These Terms do not replace it — see Section 2.
1. What We Provide
The free audit. We research how AI assistants and search platforms (such as ChatGPT, Perplexity, and Google Gemini) currently describe your business, and give you a score and a written report. The free audit is informational: it tells you where you stand and does not change anything on your behalf.
Paid AI Readiness. This is a done-for-you service, not a report subscription. Under a signed Services Agreement we work directly on your business's presence — claiming, verifying and completing your listings on Google Business Profile, Bing Places for Business, Yelp and the Better Business Bureau (free listing tier); creating a Wikidata entry where your business is eligible; generating Schema.org structured data and deploying it to your website; and then monitoring all of it on an ongoing basis with a written report each month.
We may offer additional services, such as managed websites, described at the point of sale and governed by their own terms. Feature availability and pricing may change; existing subscribers will be notified at least 30 days in advance of material changes affecting their plan.
2. Relationship to Your Services Agreement
If you have signed an AI Readiness Services Agreement with us, that agreement governs the services described in it — what we deliver, what it costs, how it is billed, and how it ends. These Terms continue to govern your use of the Site and client portal.
Where these Terms and your Services Agreement conflict as to the services, your Services Agreement controls. We may update these Terms as they relate to Site and portal use, but no such update amends a signed Services Agreement, which can be changed only in writing signed by both parties.
3. Eligibility
You must be at least 18 years old and authorized to enter contracts on behalf of any business you represent. By using the Service, you confirm you meet these requirements.
4. Account & Access
Access to paid features requires a verified email address. You are responsible for keeping your login credentials secure. We use passwordless magic-link authentication — notify us immediately at dbrown@smbaiguy.com if you suspect unauthorized access to your account.
5. Subscriptions & Payments
Paid subscriptions are billed monthly. All payments are processed by Stripe. By providing payment information, you authorize us to charge the applicable fees on a recurring basis until you cancel.
Where a service carries a one-time setup fee, that fee and your first monthly payment are billed together on a single invoice when you sign up, and each following month bills on that same calendar date. Monitoring and reporting begin on activation and are not contingent on completion of the setup work.
Subscriptions auto-renew at the end of each billing period. You may cancel at any time from your account portal; cancellation takes effect at the end of the billing cycle then in progress, and no prorated refunds are issued for unused time within that cycle. If a payment fails, we will retry up to three times over five days before suspending access.
6. Free Audit
The free AI Readiness audit is available once per business location. We reserve the right to limit or discontinue the free audit at any time. The free audit report is for informational purposes only and does not constitute a guarantee of AI visibility outcomes.
7. Access to Your Business Accounts
The paid service requires us to act on your behalf. Under a signed Services Agreement you authorize us to create, claim, verify, correct and maintain listings and records for your business, and to install or modify structured-data markup on your website for that purpose. You agree to grant us manager-level access (or the nearest equivalent each platform offers) to the relevant accounts and to your website or tag manager, and to keep that access in place while the agreement runs.
We will not take, and will not ask for, Primary Owner status on any of your accounts unless you specifically request it. Your listings, profiles and business records are yours and stay under your control. When the engagement ends, we relinquish the administrative access we hold.
You confirm that you own, or are authorized to represent, the business and the website concerned.
8. Your Responsibilities
You agree not to:
- Submit false or misleading business information
- Use the Service to audit businesses you do not own or have explicit authorization to represent
- Attempt to reverse engineer, scrape, or automate requests to our Service
- Use the Service in any manner that violates applicable law
9. Third-Party Platforms
The platforms we work with — Google, Microsoft, Yelp, the Better Business Bureau, Wikimedia and the AI assistants themselves — are operated by third parties and set their own policies. We make reasonable efforts to create, claim and update listings, but we cannot guarantee that a platform will accept, approve, or keep a listing. Platforms may reject or remove listings, may take weeks to act, and may require verification steps only you can complete. Where that happens we will tell you and pursue whatever remedy the platform offers, which is the full extent of our obligation.
Some platform rules bind us in ways worth stating plainly. We will not solicit customer reviews on your behalf — several platforms, Yelp in particular, prohibit it and penalize businesses that do it. And where we contribute to a public knowledge base such as Wikidata, the Wikimedia Foundation's rules require us to publicly disclose that we are working for you; by engaging us you consent to that disclosure.
10. Intellectual Property
Our scoring methodologies, software, tools, and branding are owned by Enthropic Data LLC or its licensors. Reports we produce for you are licensed to you for your own business use and may not be redistributed or resold.
Deliverables created specifically for you — including the structured-data markup we generate for your website — are yours to use permanently once you have paid for them. Your listings, profiles, business information and content remain yours throughout.
Contributions to public knowledge bases are published under whatever licence that platform requires. Wikidata, for example, requires a CC0 public domain dedication, which means neither of us can own, restrict, or withdraw that content afterwards.
11. Disclaimer of Warranties
The Site is provided "as is" and "as available" without warranty of any kind. We do not guarantee that your AI visibility scores will improve, that AI assistants will recommend your business, or that the Service will be uninterrupted or error-free. AI assistant outputs are outside our control and may change at any time.
12. Limitation of Liability
To the fullest extent permitted by law, Enthropic Data LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 3 months preceding the claim.
13. Termination
You may stop using the Site at any time, and may cancel a paid subscription as described in Section 5. We may suspend or terminate access immediately for violation of these Terms or non-payment, and otherwise on 30 days' notice. If you have signed a Services Agreement, its termination provisions govern that engagement.
On termination your contact and account data is retained for 90 days, during which you may request an export, and is deleted after that. Business scan data and work records are kept for up to 12 months so a returning client does not start from zero. Our Privacy Policy sets out retention in full.
14. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Union County, NC.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email to active subscribers, and continued use of the Site after the effective date of a revision constitutes acceptance of the updated Terms. As stated in Section 2, this does not apply to a signed Services Agreement, which can be amended only in writing signed by both parties.
